The recently published “serious breaches of duty” by FCL majority shareholder Bernhard Alpstaeg in the purchase of the stadium shares have prompted the other shareholders to take a drastic step, as they announced in a statement: they exclude the 78-year-old from the shareholder agreement (ABV).

This decision, which was taken unanimously, means that all other shareholders can buy Alpstaeg’s shares at what they believe to be a “fair value”. The shares would then be held jointly and sold to “personalities with roots in Central Switzerland”.

“It is no longer bearable”

“This decision was not easy, but it is necessary,” it continues. Alpstaeg is “no longer sustainable” as a shareholder of FCL Holding AG, and the events surrounding “the acquisition of the majority stake in Stadion Luzern AG were the final straw.” In addition, the shareholders allege eight other violations by Alpstaeg that led to this. This includes the “illegal appropriation” of Walter Stierli’s shares, for example the attempt to prevent the award of the Super League license for the current season.

Because of these “serious reasons” and because Alpstaeg also “lacks the willingness to correct and cooperate with these breaches of duty”, a party could be excluded from the ABV by the decision of the other parties.

Alpstaeg now has the opportunity to challenge the decision of the other shareholders. The next chapter in the FCL Zoff begins.
