The council expands the number of members and appoints PWC as the new auditor
General meeting of shareholders Abanca approved this Monday the management and annual accounts for the year 2022, when the entity made a net profit of 217 million euros. The assembly was held in person and with the possibility of participation electronically in order to ensure the participation of shareholders, who supported the annual account for last year, when Abanca increased its profit by more than 40%.
“In the financial year 2022 high quality of the obtained results, of which 94% comes from banking business with clients. This ratio was 89 percent in 2021,” the entity’s announcement states.
Among other things, the Assembly of Shareholders also approved increase the maximum number of directors to 15 facilitate the process of restoring your highest body. In addition, Ana Barros was re-elected as director. Abanza reminded that its board of directors consists of 12 members, of which nine are independent, which is 75 percent of the total number.
Other items on the agenda were the appointment of v PWC as the new auditor until 2026 and approval for the purchase of own shares.
“In terms of good management, Abanca continues to make progress in implementation best practices in corporate governance, including the recommendations of the Code of Good Governance, and has had its management model externally verified for the second year. The verification report was confirmed by KPMG Asesores, who also verified the corporate report,” the company added.
