The construction company, which starts trading in the Netherlands this Friday following a change of headquarters, anticipates “adverse effects” on its business or listing

Railway This Friday, the listing on the stock exchange begins on the Amsterdam market, one of the most important in Europe. He does this after the shareholders’ meeting — held last April — gave the green light to change the company’s headquarters from Spain to the Netherlands.

Now, the company managed by Rafael del Pino admits that this change could lead to possible business, regulatory and reputational risks. It did this through a listing and trading brochure (mandatory procedure) sent to the Amsterdam Stock Exchange. In these types of documents, listed companies must meet various standards, including potential risks. One of them, according to Railwayis that the Spanish tax authorities could consider a transfer operation outside the exemptions provided by law, which would have an impact on the company’s accounts.

Already in March, when Rafael del Pino announced his intention to transfer, it caused a stir in the Government that even the Minister of Finance María Jesús Montero warned him that she would closely monitor whether he meets all the fiscal conditions of the transfer.

Railway It also acknowledges that “it could have a negative impact on its corporate image in Spain, which in turn could have a significant negative effect on the group’s competitive position and, in turn, on its share price, business, financial situation, results of operations and outlook”, they warn from groups.
