FCL reveals evidence: Now Alpstaeg needs an explanation in the stadium dispute

The dispute at FC Luzern remained quiet all summer. Now events are happening again. On Tuesday, the municipal council initiated legal action to take early possession of the Swissporarena, because the 99-year construction contract had been seriously breached.

Bernhard Alpstaeg (77) is said to have ignored the pre-emption right of FCL Holding AG when he acquired the majority of the shares in Stadion Luzern AG. This claim is incorrect, says his spokesperson Sacha Waagdorovits (71). FCL Holding had “no contractual right of first refusal” when selling the shares to Alpstaeg.

Now the board of directors of FC Luzern follows up with an email accompanying the press release. This was done at the time by Alpstaeg’s lawyer and Dr. Philipp Studhalter, then Chairman of the Board of Directors of FCL Holding AG and CEO, in December 2018.

Was deliberately misled?

It says: “I have not found a solution that gives open control of the shares in the short term without triggering the purchasing right of the City of Lucerne or FCL Holding AG.” The recipient of the email included Alpstaeg. The investor, who will turn 78 in a few days, was therefore well aware of FCL Holding AG’s right to buy. Despite this knowledge, he did not keep his hands off this share package.

Therefore, the board of directors of FCL Holding AG now accuses Alpstaeg and Studhalter of deliberately misleading him. It was only in September 2019 that he was informed by President Studhalter that Alpstaeg had acquired the 60 percent share package in Stadion Luzern AG and that FCL Holding AG did not have a corresponding pre-emption right.

“This statement was made while, according to the said email, it was clear to all persons involved in the transaction that FCL Holding AG had a right of first refusal and that this should have been offered for exercise in writing in agreement with FCL Holding. AG’s existing construction rights agreement with the City of Lucerne,” FCL Holding AG said in its statement.
