Indra will increase the number of directors from 14 to 16

“Indra’s board of directors, chaired by Marc Murtra, approved the increase in the number of directors to sixteen at the regular shareholders’ meeting, scheduled for June 30. With this expansion and the appointment of two independent directors, it will be possible to respond to the new reality created by the new shareholder composition of the company and continue to respect the best practice of corporate governance,” the company states.

In this sense, the entry of Jiménez de Parga (Secretary of the board of Pris) into Indra’s highest decision-making body occurs after Amber Capital this week increased its stake in the company to 7.239%, a weighting in the stake that gives the fund the possibility to seek a place in board, in which there was a vacancy after the resignation of Axel Arendt following the appointment of De los Mozos as CEO.

With the entry of Amber Capital into the body, there was an imbalance in the number of independent and non-independent directors, which is why it was decided to increase the number of seats in the board of directors to 16, which means that with the appointment of María Ángeles Santamaría Martín and Elena García Armada, there will be eight independent directors and the same number of non-independent ones.

“Specifically, the proposed appointment of María Ángeles Santamaría Martín and Elena García Armada, if ratified by the shareholders’ meeting, will enable compliance with recommendation 17 of the Good Governance Code, with at least half of the sixteen directors being independent,” the company said.

At the same time, it reinforces Indra’s “commitment” to gender diversity, as it will reach 37.5% female presence on the board, the company added.

Likewise, the board of directors included in the agenda of the regular meeting of shareholders a proposal for the appointment of Pablo Jiménez de Parga as owner director “in response to Amber Capital’s request”.
